Huntington Bancshares, Veritex Holdings Receive Regulatory Approvals for Pending Merger

Huntington Bancshares Inc. and Veritex Holdings Inc. jointly announced that the Board of Governors of the Federal Reserve System and the Office of the Comptroller of the Currency have approved the proposed merger of Veritex with and into Huntington, with Huntington continuing as the surviving corporation, and the merger of Veritex Community Bank, with and into The Huntington National Bank.

All required regulatory approvals to complete the Huntington-Veritex transaction have now been received and the transaction is expected to be completed on Oct. 20, 2025, subject to the satisfaction or waiver of the remaining customary closing conditions set forth in the merger agreement between Huntington and Veritex. Veritex shareholder approval was received at the Veritex special meeting of shareholders on Sept. 22, 2025.
